Our Lawyers Represent Businesses and Individuals in High-Value Real Estate Transactions and Disputes in Florida

The fallout can be frustrating, time-consuming, and expensive if a real estate transaction goes awry. To avoid these consequences, parties on both sides of these transactions need to rely on the advice and representation of experienced legal counsel. With offices in Orlando, we represent businesses and individuals in high-value real estate transactions and disputes in Florida, relying on decades of relevant experience to protect our clients’ interests as efficiently as possible.

When pursuing a real estate transaction—whether an acquisition, disposition, or lease—informed decision-making is critical for avoiding unnecessary disputes down the line. By pursuing transactions with a clear understanding of the risks involved, buyers, sellers, landlords, and tenants can take steps to protect themselves proactively. At Shin Law Firm, we work closely with our clients during all phases of the pre-closing process, helping them conduct thorough due diligence and negotiating contract terms that shield them from unnecessary risks and potential liability.

Our Real Estate Practice

Within our real estate practice, we represent individual and corporate clients in connection with selling, acquiring, and leasing high-value residential and commercial properties. This includes custom homes and vacation properties, investment properties, office buildings, retail outlets, and industrial facilities. We also provide representation for select disputes involving landlord-tenant matters.

Acquisitions

When acquiring a multi-million-dollar piece of real estate, there are several important legal factors to consider and several important steps to take before signing on the dotted line. Our lawyers guide clients through all phases of the acquisition process, providing custom-tailored advice and representation for:

  • Property inspections and due diligence
  • Title searches
  • Financing procurement and contract negotiations
  • Contract negotiations with the seller
  • Managing escrow and other pre-closing matters

At the end of the acquisition process, there should be no lingering issues, and there should be no question that the deal has closed and title has been properly transferred. As buyer’s counsel for high-value real estate transactions, we focus on ensuring that our clients have all necessary contractual protections and that our clients can move forward with confidence.

Dispositions

When selling high-value properties, residential and commercial real estate owners need to be able to rely on their legal counsel to secure the contractual protections that are necessary to protect their interests both before and after closing. This includes (but is by no means limited to) appropriately addressing matters such as:

  • Ensuring buyers’ access to financing
  • Negotiating buyers’ contingencies (i.e., financing and inspection contingencies)
  • Drafting all necessary contracts and addendums
  • Negotiating limitations of liability and other contractual protections
  • Overseeing the transfer of title post-closing

To help ensure that our clients’ deals go as planned, our lawyers play an active role in all stages of the process. This includes advising our clients regarding potential issues, helping our clients evaluate options and alternatives, communicating with the buyer’s lender and counsel as necessary, and managing closing. We are there every step of the way to help our clients make informed and strategic decisions focused on mitigating their risk while simultaneously maximizing the value of the deal.

Title Issues

Title issues can arise under various circumstances, and resolving these issues can present a variety of challenges. As a result, it is generally best to avoid these issues whenever possible—and this is something we emphasize during acquisitions and sales. But, in some cases, prevention is no longer possible, and in these scenarios finding an efficient solution is the key to moving forward.

We help businesses and individuals resolve title issues related to residential and commercial real estate in Florida. This includes issues falling both within and outside of the scope of title insurance. When a buyer’s or lender’s title insurance policy applies, achieving a favorable outcome can be (though not necessarily) a straightforward process. But, in circumstances that do not permit the filing of a title insurance claim (either because no insurance is available or the issue falls outside of the insurer’s coverage), resolving title-related issues can prove more challenging. In some cases, it may be possible to negotiate a resolution, while in others, it may be necessary to go to court.

Leasing/Lease Agreements

Leasing transactions present legal and financial risks for both parties. As a result, lessors and lessees alike need experienced legal counsel. At Shin Law Firm, we represent lessors and lessees in commercial leasing transactions, and we draft leases for residential real estate investors as well.

When drafting or negotiating a real estate lease, numerous issues exist. While most parties focus on commercial terms like rent, square footage, and parking access, these terms just scratch the surface of the issues that require careful consideration and strategic negotiation. From renewal and transfer rights to liability for third-party claims, we ensure that our clients have a comprehensive understanding of what matters and why—and we negotiate to secure all necessary contractual protections for our clients.

Landlord-Tenant Matters

In addition to representing clients in connection with leasing transactions, we also provide representation for select landlord-tenant matters. While formal dispute resolution efforts will be necessary in some cases, it will often be in both parties best interests to negotiate an amicable resolution. Whether this involves preserving the parties’ leasing relationship or terminating the lease prematurely will depend on the circumstances presented. We help our clients thoroughly evaluate their options, and we provide strategic and forward-thinking legal advice that allows our clients to determine how best to proceed. Once this decision has been made, we work diligently to secure our client’s desired result as cost-effectively as possible.
